A provider of software to interactive TV solution providers was acquired by two major cable companies, which were also shareholders and had a business relationship with the company. We were asked by the board of directors to provider a fairness opinion on the value of substantially all the assets of the business.
Solution
After extensive due diligence surrounding the company’s technology, personnel, contracts, business relationships, the state of the interactive TV industry, and the company’s ongoing engineering services, we provided an opinion of fairness on the proposed transaction.
